Terms & conditions you should know

Welcome to ilesh Connect (Previously Opscura) platform from Urban-Age Solutions Private Limited (“Company”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our Project Management SaaS Platform (“Platform” or “Service”), including any related websites, mobile applications, and other online products and services.

By creating an account, subscribing, or using the Platform, you (“User”, “you”, or “your”) agree to be legally bound by these Terms. If you do not agree to these Terms, do not use our Platform.

1. Platform Overview

ilesh Connect (Previously Opscura) is a cloud-based project management SaaS solution where subscribed users can:

  • Create and manage workspaces

  • Add clients and team members

  • Organize projects, tasks, and financial records

  • Track leads, CRM activity, and progress

  • Collaborate in real-time via messages, file sharing, and updates

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use this Platform. By registering, you confirm that:

  • You have the legal authority to enter into this agreement

  • You are using the Platform for professional, organizational, or business purposes

3. Account Registration and Responsibilities

  • You must register an account to access the Service.

  • You agree to provide accurate, complete, and current information.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You are responsible for all activities that occur under your account or workspace.

  • You must immediately notify us of any unauthorized access or security breach.

4. Subscription Plans & Billing

  • Access to premium features requires a paid subscription.

  • Subscription plans may vary by number of users, storage, or features.

  • You authorize us to charge your payment method as per your selected plan.

  • All fees are non-refundable unless stated otherwise.

  • Subscriptions automatically renew unless canceled before the billing date.

Billing disputes: You must notify us within 15 days of any charge you dispute.
Cancellations: You may cancel your subscription via your dashboard at any time.

5. Workspaces, Clients, and User Roles

  • A "workspace" is a virtual account owned by the subscriber.

  • Workspace owners may invite users (clients, team members) and assign role-based permissions.

  • You are responsible for managing your own workspace, its users, and their activities.

  • You must ensure your users comply with these Terms and applicable laws.

6. User Content and Data

A. Ownership

  • You retain ownership of all content, data, and files uploaded or created within your workspace.

  • We do not claim any ownership over your intellectual property.

B. License

  • You grant us a limited license to host, process, and display your content solely to provide the services.

C. Responsibility

  • You are responsible for all content submitted under your account.

  • You must ensure you have the rights to use and share such content.

7. Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful or fraudulent purpose

  • Upload viruses, malware, or harmful code

  • Reverse engineer, decompile, or tamper with the Platform

  • Bypass security features or abuse the API

  • Resell, sublicense, or redistribute the Platform without written permission

  • Harvest or scrape user data without consent

We reserve the right to suspend or terminate access if we suspect any violation of these Terms.

8. Data Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using our services, you consent to the practices described in the Privacy Policy.

9. Intellectual Property

All content, software, and intellectual property (excluding User Data) associated with the Platform is owned by Urban-Age Solutions Private Limited or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works of our content without our express permission.

10. Third-Party Services

Our Platform may integrate with third-party services (e.g., payment gateways, storage providers, communication tools). Your use of such services is governed by their own terms. We are not responsible for third-party platforms or content.

11. Service Availability and Support

  • We aim for 99.9% uptime but do not guarantee uninterrupted availability.

  • Scheduled maintenance or technical issues may cause brief interruptions.

  • Support is available via email or live chat during business hours.

12. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or goodwill.

  • Our total liability for any claim shall not exceed the amount paid by you in the last 12 months.

13. Indemnification

You agree to indemnify, defend, and hold harmless Urban-Age Solutions Private Limited and its officers, directors, employees, and affiliates from any claims, liabilities, or damages arising out of:

  • Your use of the Platform

  • Your violation of these Terms

  • Your data or content hosted on the Platform

14. Termination

We reserve the right to suspend or terminate your access to the Platform:

  • If you violate these Terms

  • For non-payment of fees

  • If required by law or legal process

Upon termination:

  • Access to your workspace will be disabled

  • You may request a data export within 30 days

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Tamil Nadu, India, without regard to its conflict of laws. Disputes shall be resolved in the courts of Tiruppur, Tamil Nadu, which shall have exclusive jurisdiction.

16. Amendments to Terms

We may update these Terms occasionally. Users will be notified via email or in-app notice before material changes take effect. Continued use after such updates constitutes acceptance of the revised Terms.
